These Terms of Use (“Terms”) govern your access to and use of https://aaxander.com (the “Site”), and any content, tools, forms, or resources provided by Aaxander Data Services (“Aaxander,” “we,” “us,” or “our”).
By accessing the Site, requesting a consultation, or engaging with our content, you agree to these Terms. If you do not agree, do not use the Site.
1. About Aaxander
Aaxander is a WOSB-certified database consulting firm providing services to government and commercial clients. We specialize exclusively in Microsoft SQL Server (on-premises, Azure SQL, and hybrid environments).
Our team is fully US-based and provides senior-level coverage through a rollover on-call system.
2. Services Described on the Site
The Site describes consulting offerings including:
- SQL Server Health Checks, performance tuning, and architecture design
- Migrations, upgrades, high-availability setups, and disaster recovery planning
- Ongoing managed support and fractional DBA partnerships
- Data protection and backup reviews
These descriptions are informational only. Actual services, scope, pricing, and deliverables are governed by a separate proposal, Statement of Work (SOW), or Master Services Agreement (MSA). Where there is a conflict between these Terms and a signed MSA, the MSA controls.
3. Eligibility and Intended Audience
The Site is intended for businesses and professionals, not consumers under 18. By using the Site, you represent that you have authority to act on behalf of your organization.
We work primarily with US-based companies in regulated industries such as healthcare and finance, but we do not guarantee suitability for any specific compliance regime through website use alone.
4. Accounts, Forms, and Communications
You may submit contact forms, request a health check, or schedule calls. You agree to provide accurate information and to keep it current.
If you create an account or client portal login in the future, you are responsible for maintaining confidentiality of your credentials and for all activity under your account.
5. Fees, Performance Packs, and Cancellation Policy
Pricing mentioned on the Site, such as month-to-month “Performance Packs” with 30 days’ notice to cancel and fixed pricing, is illustrative. Binding fees require a signed proposal or order form.
Unless otherwise agreed in writing:
- Invoices are due net 15 days
- Late payments may incur 1.5% monthly interest
- You are responsible for applicable taxes
6. Client Responsibilities
When engaging our services, you agree to:
- Provide necessary access, credentials, and environment information in a secure manner
- Maintain valid licenses for Microsoft SQL Server and related third-party software
- Ensure you have backups before we perform work, unless backup services are expressly in scope
- Designate a technical point of contact with decision-making authority
You retain ownership and control of your data at all times.
7. Confidentiality and Data Security
We treat client data as confidential. We implement reasonable administrative, technical, and physical safeguards appropriate for database consulting work.
For clients subject to HIPAA, PCI-DSS, or similar frameworks, a Business Associate Agreement or Data Processing Addendum must be executed before we access regulated data. Website use alone does not create HIPAA compliance.
We do not sell personal data submitted through forms.
8. Intellectual Property
The Site, including text, graphics, case studies, methodology descriptions, and logos, is owned by Aaxander or our licensors and protected by US copyright and trademark law.
You are granted a limited, non-exclusive, revocable license to view the Site for internal business evaluation. You may not copy, modify, distribute, reverse engineer, or create derivative works from our content without written permission.
Any deliverables, scripts, or documentation we create for you under a paid engagement are licensed to you per your MSA. Our pre-existing tools, templates, and know-how remain our property.
9. Acceptable Use
You agree not to:
- Use the Site to transmit malware, attempt unauthorized access, or interfere with operations
- Scrape, harvest, or misuse contact information
- Misrepresent your identity or affiliation
- Use our name or testimonials without permission
10. Third-Party Services and Links
The Site may link to third-party resources (e.g., Microsoft Azure documentation). We are not responsible for third-party content or practices.
11. Disclaimers
The Site and all content are provided “as is” and “as available.” We do not warrant that the Site will be error-free, uninterrupted, or that information is complete or current.
Performance improvements referenced on the Site, such as queries accelerated by 5x–20x, are based on past client results and do not guarantee future outcomes. Every environment is unique.
We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, Aaxander will not be liable for indirect, incidental, consequential, special, punitive, or lost profits damages arising from Site use.
Our total aggregate liability relating to Site use is limited to US $100 or the amount you paid us in the 3 months preceding the claim, whichever is greater. This limitation does not apply to liabilities that cannot be excluded under law, or to obligations under a signed MSA.
13. Indemnification
You agree to indemnify and hold harmless Aaxander, its owners, and personnel from claims arising from (a) your misuse of the Site, (b) your violation of these Terms, or (c) data or systems you provide to us without proper rights or authorization.
14. Compliance Representations
As a WOSB-certified, US-based provider, we structure engagements to support compliance needs for healthcare (HIPAA), finance (PCI-DSS), and government-adjacent SaaS clients. Specific compliance obligations must be documented in your contract.
15. Termination
We may suspend or terminate access to the Site at any time for violation of these Terms or for operational security reasons. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.
16. Governing Law and Venue
These Terms are governed by the laws of the United States and the state in which Aaxander Data Services maintains its principal place of business, without regard to conflict of law rules. You agree to exclusive jurisdiction in the state and federal courts located in that jurisdiction.
If you are a US federal, state, or local government entity, mandatory governing law provisions applicable to you will supersede this section to the extent required.
17. Changes to Terms
We may update these Terms to reflect new services or legal requirements. We will post the revised date at the top. Continued use after changes constitutes acceptance.
